Steven Urvan


is the founder of BitRail, and our Chairman since August 2021. Mr. Urvan has been Chief Executive Officer and director of BitRail LLC and BitRail Holdings since March 2018. Mr. Urvan founded in 1999 and was the Chief Executive Officer until April 2021 when AMMO, Inc. (NasdaqCM: POWW), acquired  Mr. Urvan has been Chief Strategy Officer and director of AMMO, Inc. since April 2021. From 1999 to April 2021, Mr. Urvan was Chief Executive Officer of Gemini Direct Investments, LLC, a cryptocurrency marketplace investor, and its subsidiaries, and has been a partner at Gemini Southern LLC, or Gemini Southern, a merchant bank, since March 2016.   Mr. Urvan has spent over 20 years as an entrepreneur, advisor, and investor with a passion for building and growing companies across various industries, but always with a focus of technology as a core or enabler. Mr. Urvan remains active in other companies that he founded including Digital Media, an outdoor lifestyle website, App Cohesion, an e-commerce technology platform, and Gemini Southern. We believe that Mr. Urvan is qualified to serve on our board of directors due to his deep knowledge of BitRail and his long executive and board experience.

Jeffrey Siegel

President & CEO

has served as our President and Chief Executive Officer since inception. Mr. Siegel has over two decades of experience in executive management, technology and media.  In July 2014, Mr. Siegel founded and was Chief Executive Office of our affiliate Media Lodge, Inc., or Media Lodge, until August 2021. Media Lodge is a digital production and distribution company focused on enthusiast audiences, until August 2021. and is beneficially owned by our Chairman Mr. Urvan, who is also Media Lodge’s current chief executive officer and director. From October 2010 to June 2014, Mr. Siegel was Senior Vice President, Global Sales and Marketing of TiVo Inc. (Nasdaq: TIVO), a digital technology company. From May 2009 to October 2010, he was Senior Vice President, Sales and Marketing of Ensequence Inc, a digital technology and software-as-a-service company. From October 1996 to May 2009, he worked at ESPN where he rose to the position of Senior Vice President, Advanced Media Sales and Marketing. There, he led the sales, marketing and development of advanced media platforms including internet, interactive television, addressable advertising, video on demand and mobile. He also oversaw sales for ESPN Deportes, ESPN Outdoors and ESPN Radio. Siegel spent a total of 13 years at ESPN. Mr. Siegel graduated from John Carroll University with a Bachelor of Science in Business Administration degree.

James Stapleton


has served as our Chief Financial Officer since inception. Prior to joining the Company, Mr. Stapleton was an advisor and consultant to a variety of companies, both public and private.  From May 2016 to November 2019, Mr. Stapleton was the chief financial officer at Mount Tam Biotechnologies, Inc., a drug discovery and development company. From August 2012 to September 2014, Mr. Stapleton was the chief financial officer at Ozone International LLC, which provides ozone equipment and solutions to food processors.  From February 2012 to August 2012, Mr. Stapleton was the CFO for Jones Soda Co. (Nasdaq: JSDA).  From 2007 to 2011, Mr. Stapleton was a consultant and advisor to a variety of companies, both public and private.  From May 2005 through July 2007, Mr. Stapleton was the chief financial officer of Bionovo, Inc. (OTC Markets: BNVIQ), a former pharmaceutical company.  From January 2003 through April 2005, Mr. Stapleton was the chief financial officer of Auxilio (OTCQB: AUXO), a healthcare technology company.  From 1996 through 2002, Mr. Stapleton was employed in a variety of positions for Prosoft Learning Corp. (Nasdaq: POSO prior to delisting), including Corporate Secretary, Vice President, Investor Relations, and CFO.  Mr. Stapleton was chief financial officer of BioTek Solutions, Inc. from 1995 through February 1996. .  Mr. Stapleton graduated from the University of California at Irvine (UCI) with a MBA in 1995, and from the University of Washington with a BA in Economics in 1985

Kevin O’Connell


has served as our director since August 2021. Since 1997, Mr. O’Connell has led direct investments and asset management strategies as the founder and managing member of FinTekk AP, LLC, a Southern California-based firm providing general management and corporate finance advisory services to early and developmental stage companies.  Prior to that, Mr. O’Connell founded General Pacific Partners, LLC, a partner-based consulting business focused on mergers and acquisitions, corporate restructurings and principal capital for equity/debt investment.  Mr. O’Connell has been a lead investor, active board member and shareholder having managed the strategic decisions and financing structures of ventures engaged primarily in technology, internet/ecommerce, fintech, healthcare, and the environmental industries.  Mr. O’Connell received a Bachelor of Arts (BA) from California State University, Northridge (CSUN), earned his Masters of Business Administration (MBA) from Pepperdine University and completed the Corporate Governance program at Harvard Business School (HBS) in Cambridge, MA.

Brooks Corbin

will be a member of our board of directors immediately upon the effectiveness of the registration statement of which this prospectus forms a part. Mr. Corbin is a seasoned operational and business development financial executive. Since August 2016, Mr. Corbin has been the chief executive officer of Dynamic Healthcare Systems, Inc. Mr. Corbin has also been its chief financial officer since September 2005 and the chairman of its board of directors since March 2011. From May 2015 to June 2017, Mr. Corbin was a director and the audit committee chairperson of Bionovo, Inc. (OTC Markets: BNVIQ). He was also a director of Auxilio (OTCQB: AUXO) from May 2015 to June 2017 and also the chairman of its compensation committee from February 2017 to June 2017. Mr. Corbin holds an MBA from UCLA Anderson School of Management, received bachelor degrees in Economics and International Relations from Stanford University. He holds an inactive CPA license and is a Chartered Financial Analyst. We believe that Mr. Corbin is qualified to serve on our board of directors due to his long record of executive and board experience at both private and public companies.

Chris Horne

VP Engineering

Chris Horne has worked in Information Technology for over 25 years, covering a wide range of companies, projects, and technologies. For over a decade, Mr. Horne wrote software and provided consulting for nationwide and international projects. He co-founded a company and brought a successful iPad app to market. He has led non-profits and helped start several charity organizations for outreach and disadvantaged children. His experience of software development and architecture, combined with a view of company and business needs, has led him to run teams to create modern, world-class software. Mr. Horne graduated from the Georgia Institute of Technology in 1999 with a degree in Computer Science and obtained an MBA in 2005.
